Legal Counsel – Private Equity (HK$120K - $180K) (Ref. No.: 27841)
A fast-growing private equity firm headquartered in Singapore and Hong Kong, investing across Southeast Asia and key global markets.
Job Duties
- Advise on private equity transactions, including acquisitions, disposals, joint ventures, and minority investments.
- Draft, review, and negotiate a wide range of transactional documents (SPAs, shareholders’ agreements, investment agreements, NDAs, term sheets).
- Support fund formation and structuring activities, including reviewing fund documents, regulatory filings, and investor documentation.
- Manage and coordinate with external counsel across multiple jurisdictions.
- Provide legal support on portfolio management, corporate governance, and compliance matters.
- Assist with regulatory and licensing matters relevant to the firm’s operations in Singapore and abroad.
- Develop and maintain internal legal processes, templates, and risk-management frameworks.
Job Requirements
- Qualified lawyer with at least 5 years PQE from a reputable law firm or in-house legal team.
- Strong experience in M&A, private equity, or corporate transactions.
- Exposure to cross-border deals is essential.
- Experience in fund formation, funds regulatory work, or investment management is a strong advantage.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently in a fast-paced, entrepreneurial environment.
- Strong commercial judgment and a solutions-oriented mindset.
- Strong command of English and Chinese including Putonghua.
